In 2010, we were also included in Forbes magazine's "America's 100 Best Small Companies".We value innovative thinkers who are open to new opportunities and derive satisfaction from knowing that their efforts are making a difference in someone’s life.Detailed Description Reporting to the Corporate Counsel and working from the Vista, California location, this position will support the company’s Spine and OrthoBiologics divisional sales activity.  The Contract Manager will assist in reviewing, drafting, revising, and negotiating contracts; assist in management of the division’s contract request form system, monitor contract compliance and performance; recommend improvements and innovations to and provide oversight of contract process and accuracyTo perform this job successfully, an individual must be able to perform each essential duty satisfactorily. Draft, review, revise, and manage form agreements for routine sales activities, as well as non-standard agreements for consulting, vendor, distributor, clinical and service agreements. Negotiate contracts, appropriately escalate complex legal and factual issues to Corporate Counsel and assist in resolution of issues. Assist in creating, implementing and managing systems that enable the efficient creation, negotiation, oversight and ultimately execution of the division’s agreements. Maintain system to file, manage, and oversee contracts. Work with other contract managers and administrative assistants to maintain the contract request system and provide follow-up on contractual matters. Prepare metrics on contract operations for reporting to Corporate Counsel and company management. Coordinate with multiple cross-departmental functions regarding contract terms and assist in audits of contracts. Obtain all appropriate and necessary internal approvals for contract terms and provisions. Effectively communicate regarding contract terms and obligations, including responding to inquiries regarding and providing summaries of contract terms and conditions. Provide support to Corporate Counsel regarding company’s compliance program where needed. Identify opportunities for process improvements and to help ensure compliance with company and external rules. Perform file management and records retention duties while keeping work area orderly. Monitor and observe all division and company safety procedures and policies at all times. Perform other related duties as required.
