Legal Director

Details: Commercial Practice Group• Practice group supports the following sales and support segments: Large Enterprise, Global 500, Healthcare, SMB, Services, Channel, Software & Peripherals, Commercial Online, Enterprise Solutions, Contract Negotiators, Compliance, Knowledge ManagementScope• Responsible for handling a variety of highly complex legal/business matters arising out of Dell’s commercial sales segments with a focus on outbound transactions involving technology solutions, services integration, and strategic initiatives with a focus on enterprise solutions sales • Reports to the Executive Legal Director, Commercial Practice Group • Requirements:• JD degree, minimum of 10 years legal experience and at least one state bar admission; prefer 14-18 years legal experience • Commercial transactional experience is required with an emphasis in technology, services, and software/IP licensing• Strong teamwork commitment • Ability to assess legal risks pragmatically• Strong analytical and problem-solving skills• Comfortable dealing with ambiguity• Strong communication and presentation abilities • Ability to work confidently with dynamic and creative client sets• Strong Research and drafting skills• Ability to negotiate complex customer transactions• Provide pragmatic counsel for legal and business issues involving:o Drafting and negotiating sales contracts and outbound licensing documents for hardware, software, services, and solutions o Support of Segment Contracts Negotiators as a legal escalation resourceo International, federal, and state regulatory compliance issues o Support Dell’s strategic initiatives, including solutions developmento Support assignments that are highly complex in nature where sound independent judgment is required, within broadly defined procedures and practices, to determine appropriate actiono Performs legal analysis tasks (including research and/or drafting) for business needs related to practice area(s) and advises organization on appropriate legal action(s) to be taken o Understands, follows, and enforces Legal Department policies and procedureso Anticipates and guards against legal risks involving the organizationo Recommends changes to organizational policies/procedures involving legal issues 'LIAM5''CBAM5'
